Avent, Inc.,a subsidiary of Avanos Medical, Inc., (“Avanos”, “our”, “we” or “us”) respects your privacy and we want you to be familiar with how we collect, use, share, or otherwise process, your Personal Information. This Privacy Notice applies only to residents of the United States of America. If you are not a U.S.A. resident, please refer to the applicable Avanos global privacy notice or the notice relevant to your jurisdiction. This Privacy Notice also serves as our “Notice at Collection” for California residents under the California Consumer Privacy Act (CCPA), as amended by the California Privacy Rights Act (CPRA). It describes the categories of Personal Information we collect, the purposes for which we use that Personal Information, whether we sell or share Personal Information, and the rights available to U.S. consumers.

Collecting and Using Your Personal Information

When you visit and interact with us online, such as through our websites, email and mobile applications, and when you participate in our programs, services, or have other business interactions with us that reference this Privacy Notice (collectively, “Services”) , we collect information that alone or in combination with other information in our possession could be used to identify you (“Personal Information”). The type of Personal Information we collect depends on the nature of your interactions with us through our Services.

For example, Personal Information that we may collect can include:

  • Contact Information: Such as your first and last name, address, telephone number, email address, and other contact information you choose to share with us.
  • Demographic Information: Age, date of birth, location.
  • Professional Information: Professional affiliations, specialty, NPI, education details.
  • Information collected through tracking technologies: IP address or other online identifiers, device identifiers, browsing activity, and similar information collected through cookies, pixels, tags, and similar technologies.
  • Voice Recordings: For data access requests or in the provision of Patient Services.
  • Inferences drawn from other Personal Information: Information derived from social media profiles or other public records or websites.

We may use this Personal Information to:

  • Recruit for employment purposes, employee onboarding or other administration of Avanos Personnel.
  • Respond to questions on recruitment to our clinical trials or to refer you to specific organizations that may provide information on how to participate in clinical trials or to facilitate clinical trials.
  • Address questions related to products in development, or in market.
  • Deliver requested information on resources available related to the therapeutic areas or other medical or scientific areas that Avanos provides.
  • To develop new products and services.
  • Provide marketing information relating to products in development or as marketed by Avanos, its affiliates or licenses.
  • Send you promotional materials, such as our email communications.
  • Conduct surveys, polls and/or obtain testimonials.
  • Operate, evaluate, secure, and improve our Services, to analyze use of our Services, or to enhance or develop new features for our Services.
  • Staff, facilitate, and manage research, studies, and related activities.
  • Create aggregated analytics for research purposes.
  • Process grants and sponsorship applications.
  • Fulfill our obligations to you under an applicable contract or to conduct business with you.
  • Provide patient support-related Services, such as through our Game Ready Programs.
  • Comply with regulatory monitoring and reporting obligations, such as those related to adverse events, product complaints, spend transparency, and patient safety.
  • Protect against, identify, investigate, and respond to fraudulent, harmful, unauthorized, unethical or illegal activity.
  • Conduct other legitimate business activities, as allowed by applicable law.

We may use directly, or sell or share to third parties, certain categories of Personal Information for purposes of cross-context behavioral advertising (also referred to as “targeted advertising”). You may opt out of such processing, sale or sharing by using the “Do Not Sell or Share My Personal Information” link described in the “Your Privacy Rights” section below.

We may combine the Personal Information we collect about you from online interactions with you with the Personal Information we collect about you from our offline interactions (for example, our interactions by telephone or in person). We may also combine any of the information we collect about you with information we lawfully obtain from other sources, (e.g., public records, social media, healthcare providers, government agencies). Where required by law, we will provide an opportunity for you to opt out of or consent to this type of processing.

Sensitive Personal Information

In course of offering and providing our Services we may also collect and process Personal Information that is of a sensitive nature, including information that may under certain circumstances be defined as Consumer Health Data, for example:

  • Username and password that you may select in connection with establishing an account on our website.
  • Precise geolocation, collected only when you enable location features and used to provide relevant, local events or resources. For example to share relevant, local events
  • Disciplinary actions and/or criminal proceedings and/or sanctions (employees).
  • Identification information (identity card/passport number, Social Security or other taxpayer/government identification number like driving license details.
  • Financial information, such as your bank account number for employment credit checks.
  • Information related to your health and medical condition(s), or Consumer Health Data which may include genetic data or biometric information; medical treatments, medications, and test results; and information about your insurance.
  • Other protected characteristics, such as your gender or ethnicity, should you choose to share this information with us.

We may use this Information, as necessary, to:

  • Facilitate recruitment, evaluate candidates for employment purposes, and conduct employee-related activities, such as payroll and benefits.
  • Provide and manage clinical research opportunities, patient support programs and other Services we offer.
  • Process and manage safety and quality concerns.
  • Conduct other legitimate business activities, as allowed by applicable law.

We will only process Sensitive Personal Information and Consumer Health Data when we have your express consent, or as required or permitted under applicable law, for example, to respond to legitimate requests from government authorities, including authorities that may be outside of your country of residence, to protect or defend our legal interests, and if necessary, to protect the safety of our employees and other stakeholders. Use of Cookies and other similar Technologies

We use cookies and similar technologies (such as web beacons, tags, scripts and device identifiers) to collect and store analytics and other information when you use our website. The cookies we use include both first party and third-party cookies.

Sharing and Disclosure of Personal Information

In certain circumstances we may share the categories of Personal Information described above without further notice to you (unless such notice is required by applicable law) with the following categories of third parties:

  • The Avanos Corporate Family: We may share the information we collect about you with the Avanos corporate family including affiliates and subsidiaries, as well as with third-party suppliers. The information may be disclosed to: (i) provide joint content and our services (e.g., registration, transactions, analytics and customer support); (ii) help detect and prevent potentially illegal acts, violations of our policies, fraud and/or data security breaches; and (iii) guide decisions about our or a third- party’s products, sites, applications, services, tools and communications. Members of our corporate family will use this information to send you marketing communications and you will have the opportunity to exercise certain choices regarding these email communications.
  • Service Providers and Other Third Parties: We will disclose Personal Information to service providers under contract to help with our business operations (for example to investigate fraud or for advertising, site analytics, and operations.
  • Legal and Law Enforcement: We may share Personal Information with law enforcement, governmental agencies, or authorized third-parties, in response to a verified request relating to a criminal investigation or alleged illegal activity or any other activity that may expose us, you, or any other Avanos user to legal liability. In this regard, we may share your information with third parties in response to a subpoena, other legal process and/or as permitted by law. In such events, we will only disclose information relevant and necessary to the investigation or inquiry, such as name, city, state, zip code, telephone number, email address, user ID history, IP address, fraud complaints and anything else we may deem relevant to the investigation.
  • Change of Control or Reorganization: If we decide to sell, buy, merge or otherwise reorganize businesses in some countries, such a transaction may involve the disclosure of Personal Information to prospective or actual purchasers, or the receipt of such information from sellers. It is our practice to seek appropriate protection for Personal Information in these types of transactions.
  • Companies in the Mobile App Industry: If you access our Services through a mobile device, we may also share your information with carriers, operating systems, and platforms.
  • Other Entities with Your Consent: We will share Personal Information with other third parties to whom you explicitly ask us to send your information (or about whom you are otherwise explicitly notified and consent to when using a specific service). When interacting with our Services you may have opportunities to express interest in or register for other Services. Retaining Your Information

We will retain your Personal Information for the time-period required or allowed by applicable law. Otherwise, we keep your Personal Information for as long as reasonably necessary to serve the purpose(s) for which it is collected.

International Transfers of Personal Information

Your Personal Information may be stored and processed in any country where we have facilities or in which we engage Service Providers. We will only transfer your Personal Information where we have established a legal basis and put in place adequate measures to protect your Personal Information, such as through use of the Standard Contractual Clauses authorized under the EU Data Protection Directive 95/46/EC, or other measures as may be required by local law, but you should not use our website Services if you do not want your Personal Information potentially transferred, or otherwise processed, in countries outside of your country of residence, which may have data protection laws that are different from those of your country. You may have the right to request access to, modification, export or deletion of, your Personal Information under law. These rights are not absolute and may only apply in certain circumstances. This means that we may be unable (e.g., due to legal requirements) or not obligated to satisfy your request.

In some cases, we may need to collect additional Information from you to verify your identity before providing you access to or deleting your Information, such as a government-issued identification. Avanos will not discriminate against you for exercising your rights, but we may not be able to provide you with Services that you have requested if we are not able to use your Information.

Right to Limit the Use of Sensitive Personal Information (CPRA Requirement)

If you are a California resident, you have the right to request that we limit our use or disclosure of Sensitive Personal Information to:

  • Security and integrity
  • Short-term, transient processing
  • Performing services, you reasonably expect
  • Internal operations permitted under the law

Consumer Health Data Rights (Washington and Nevada Residents)

  • Right to delete CHD
  • Right to withdraw consent to CHD processing (where processing is based on consent)

We do not sell or share Consumer Health Data. If future processing requires opt-in consent under applicable laws, we will obtain your express informed consent before such processing.

Children

We are committed to protecting the privacy of children. Our Services are not directed to children who are under the age of 16 and we do not knowingly collect Personal Information from children under the age of 16. If we learn that we have collected Personal Information directly from a child under the age of 16 through our Services, we will delete that information.
